We work via the Seedrs platform. Founded in 2012, Seedrs is one of the world’s largest crowdfunding platforms from England focused on equities. In addition to investing in regular crowdfunding campaigns, shares can be traded on the secondary market. At Seedrs you actually buy (and trade at certain times) shares of the company.

SEEDRS believes that an investor who invests small amounts of money should have just as much protection and rights as an investor who invests large amounts in companies. It is therefore possible to start as an investor with a small investment. With this, SEEDRS offers an intermediate form between investing in shares, business angel investing or regular crowdfunding.

There are not yet many platforms for equity crowdfunding in the Netherlands. Through equity crowdfunding you lock in the money, you do not know if/when you will get your money back, because you cannot just sell the shares. Although Seedrs partly solves this problem with its own Secondary Market within the platform where investors can offer their shares.

Investing in a Convertible campaign allows you to invest today, with your investment converting into equity in the future, at a discount compared to other investors. This is a very common structure used by angels and VCs all over the world. Convertible campaigns avoid the need to agree a specific valuation on the company and instead offer investors a discount (referred to as the “Discount”).

When the Convertible converts to equity in the future (usually when there is a new round of funding), it will be converted based on the discount to the valuation at the time of the new round of funding, sometimes subject to a maximum valuation (referred to as the “Valuation Cap”).

While this is the standard approach to Convertibles, each one is unique which is why we attach a document to each convertible campaign on SEEDRS outlining exactly what the specific terms are for that particular campaign. We strongly suggest that a potential investor familiarise themselves with this document before deciding to invest.

1. Open your Seedrs account and be authorized to invest
To view (and invest) all the details of our pitch, it is a prerequisite that you have a Seedrs account. This is required by the Financial Conduct Authority (FCA) under the Financial Services and Market Act 2000 (FSMA).

Have you already created and verified an account? Proceed to step 3.

2. Verify your identity
Verify your identity to invest and participate in the discussion forum. Therefore, keep your photo ID at hand. Seedrs takes a few small steps to prevent financial crime and to comply with anti-money laundering and financial crime regulations.

3. Now that your account has been verified, you can actually invest.
Log in to your Seedrs account and go to https://www.seedrs.com/zereaudrinks. We are not yet visible on the Seedrs platform, because we are in the ‘private’ campaign mode, a kind of underwater. Scroll down on our page and click on the green “Invest” button on the right. You can now transfer the desired amount via Ideal or CC.

This name is close to us, as we are committed to a movement that goes for #zereauwaste. In the Netherlands, KRNWTR+ and Zereau Drinks will coexist for the time being. For our international activities, we use Zereau Drinks. Zereau Drinks is easier to pronounce and reflects that we are the sustainable alternative for not only water but also soft drinks. We are convinced that this new name will help us on our way to more impact!
